This Service Agreement ("Agreement") is made and entered into on [Date] by and between:

Slip Buddy, a healthcare technology company registered under the Companies Act, 2013, having its registered office at R/O Mohini Plaza, Basement, Near Anjani Complex, Shree Dungargarh, Bikaner, Rajasthan, 331803, and bearing the Company Identity Number U52291RJ2023PTC091211, hereinafter referred to as the "Company."

Both the Company and the Service Provider, collectively referred to as the "Parties," agree to the following terms and conditions:


1. Objective of the Agreement

1.1 Purpose of Collaboration:

The Company aims to create a unified platform where hospitals, clinics, and dispensaries ("Service Providers") can provide healthcare services to people by allowing them to book appointments online. This is for the betterment of the healthcare system in India, ensuring people have access to quality healthcare facilities.

1.2 Promotion of Healthcare Accessibility:

The Company intends to promote private healthcare institutions and small clinics/dispensaries by providing a digital platform for patient outreach and appointment bookings, working in the best interest of both the clinics and the people.


2. Services Provided

2.1 Service Platform:

Slip Buddy will provide the Service Provider access to its digital platform where people can browse nearby hospitals, clinics, and dispensaries and book appointments.

2.2 Appointment Booking & Confirmation:

Once a patient books an appointment through the Slip Buddy platform, the Service Provider will receive a confirmation message with the appointment details. The Service Provider is responsible for attending to the patient at the booked time slot.

2.3 Rescheduling of Appointments:

Patients can reschedule their appointments through the platform, and updated details will be communicated to the Service Provider promptly.

2.4 Cancellation of Appointments & Refunds:

If a patient cancels their appointment, Slip Buddy will refund the consultation fees to the patient. The Service Provider will not be paid for canceled appointments.


3. Payment Terms

3.1 Consultancy Fees Payment:

Consultancy fees paid by the patient will be transferred to the Doctor’s personal account or the clinic’s designated bank account within 48 hours of service confirmation.

3.2 Non-Liability for Non-Service:

Payments will not be made for appointments not availed by the patient.

3.3 Payment Default Responsibility:

Slip Buddy will manage and resolve payment-related issues and defaults.


4. Duties and Obligations of Slip Buddy

4.1 Ensuring Platform Reliability:

The Company will ensure the proper functioning and continuous availability of the platform.

4.2 Timely Payment:

Payments will be processed within 48 hours of confirmation of services rendered.

4.3 Patient Appointment Notifications:

Timely notifications regarding bookings or rescheduled appointments will be sent to the Service Provider.


5. Duties and Obligations of the Service Provider

5.1 Acceptance of Appointments:

The Service Provider agrees to honor all appointments booked through the platform.

5.2 Professional Conduct:

Medical consultations and services must adhere to the highest professional and ethical standards.

5.3 Compliance with Policies:

The Service Provider must comply with the policies and guidelines provided by Slip Buddy.


6. Appointment Handling

6.1 Slot Availability:

The Service Provider shall accommodate patients as per the appointment schedule.

6.2 No-Show Policy:

No fees will be paid for missed appointments.


7. Non-Compete Clause

7.1 Non-Compete Agreement:

The Service Provider agrees not to engage with or use competing platforms during the Agreement term.

7.2 Breach of Non-Compete:

Breach of this clause may lead to Agreement termination and legal action.


8. Termination of the Agreement

8.1 Termination for Convenience:

Either Party may terminate this Agreement with [30] days' written notice.

8.2 Termination for Breach:

Immediate termination is permissible in case of material breaches.

8.3 Termination Due to Non-Performance:

Slip Buddy may terminate the Agreement for repeated failures to honor appointments.


9. Liability and Legal Consequences

9.1 Liability for Breach:

The breaching Party will be liable to pay compensation as per Indian law.

9.2 Legal Actions for Default:

Disputes will be resolved via arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in [Shree Dungargarh], India.

9.3 Indemnity Clause:

The Service Provider indemnifies Slip Buddy against claims arising from their failure to perform.


10. Confidentiality

10.1 Protection of Information:

The Service Provider will maintain confidentiality of all patient data accessed via Slip Buddy.

10.2 Non-Disclosure Agreement:

Confidentiality obligations will survive the termination of this Agreement.


11. Intellectual Property

11.1 Ownership of Platform IP:

All intellectual property related to Slip Buddy remains the sole property of the Company.

11.2 Rights to Content:

The Service Provider shall not use platform content or software for personal or commercial gain outside this Agreement.

12. Miscellaneous

12.1 Governing Law:

This Agreement will be governed by Indian law, with disputes subject to Shree Dungargarh’s jurisdiction.

12.2 Entire Agreement:

This Agreement supersedes all prior understandings and constitutes the entire agreement between the Parties.


Digital Acceptance Clause

By clicking the "I Accept" button below, the Service Provider acknowledges and agrees to the terms and conditions outlined in this Agreement. This digital acceptance constitutes a legally binding signature under the Indian IT Act, 2000, and equivalent laws governing electronic contracts.
